These Terms and Conditions ("Terms") govern your access to and use of eClinton Pay (the "Platform"), a digital payments platform operated by eClinton Enterprise ("we", "us", "our"), a business registered under the laws of the Federal Republic of Nigeria. eClinton Pay enables users to pay for airtime recharge, data bundles, electricity bills, cable TV subscriptions, education PINs, and other utility bill payments.
By creating an account, accessing, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.
Your registration, login, or continued use of the Platform constitutes acceptance of these Terms and any policies referenced within them, including our Privacy Policy and Refund Policy. These documents together form a binding agreement between you and eClinton Enterprise.
To use the Platform, you must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract under Nigerian law. By registering, you confirm that the information you provide is accurate, that you are not prohibited from using digital payment services under any applicable law, and that you are not registering on behalf of a sanctioned individual or entity.
You are responsible for maintaining the confidentiality of your login credentials, transaction PIN, and any two-factor authentication method linked to your account. You agree to notify us immediately at contact@pay.eclinton.com if you suspect unauthorised access to your account. You may only operate one account per individual unless otherwise authorised in writing by us. We reserve the right to request additional information at any time to confirm the accuracy of your account details.
In line with Know Your Customer ("KYC") obligations applicable to digital financial platforms in Nigeria, we may require you to provide identification documents, a valid phone number, email address, and other verification information before you can fund your wallet, transact above certain thresholds, or access specific features. We reserve the right to limit, suspend, or decline services where verification cannot be completed or where information provided appears false, incomplete, or fraudulent.
eClinton Enterprise is committed to preventing the use of the Platform for money laundering, terrorism financing, or any other illicit financial activity, consistent with the Money Laundering (Prevention and Prohibition) Act and related Nigerian regulations. We monitor transactions for suspicious activity and reserve the right to request source-of-funds information, delay a transaction pending review, report suspicious activity to the relevant authorities, or terminate an account where reasonable grounds for suspicion exist.
You agree to use the Platform only for lawful, personal, or legitimately authorised business purposes, and only to purchase Services for accounts, numbers, or meters that you own or are authorised to transact on behalf of. You agree not to attempt to circumvent any security feature of the Platform, interfere with its normal operation, or use automated means to access the Platform outside of any officially provided bot or API.
Without limitation, you may not use the Platform to: (a) launder funds or finance illegal activity; (b) purchase Services using stolen payment instruments, compromised cards, or funds obtained fraudulently; (c) resell Services in a manner that violates a Third-Party Provider's terms; (d) impersonate another person or misrepresent your affiliation with any entity; (e) probe, scan, or test the vulnerability of the Platform without authorisation; or (f) engage in any activity that violates Nigerian law or the rights of eClinton Enterprise or third parties. Violation of this section may result in immediate suspension, transaction reversal, and reporting to the appropriate authorities.
Your Wallet balance may only be used to pay for Services offered on the Platform and is not a bank account, deposit account, or investment product. Wallet funding is processed through licensed and regulated third-party payment processors. Wallet balances do not earn interest unless expressly stated otherwise, and are non-transferable to third parties except through Platform features expressly designed for that purpose.
Transactions initiated on the Platform are routed to the relevant Third-Party Provider for fulfilment. While most transactions are completed within seconds, processing times may vary depending on network conditions, provider availability, and verification checks. You are responsible for confirming that all transaction details (phone number, meter number, smart card number, or exam type) are correct before confirming payment, as incorrect details may result in funds being delivered to the wrong destination.
Airtime purchased through the Platform is credited directly to the mobile number provided by you via our Third-Party Providers. Once airtime has been successfully delivered to the correct number, the transaction is considered complete and is generally non-refundable, in line with our Refund Policy.
Data bundles are activated on the mobile number provided by you, subject to the terms and validity periods set by the relevant telecommunications network. Once a data bundle has been successfully activated, it is non-refundable, except where the failure to receive the bundle is directly attributable to an error on our part.
Electricity bill payments (prepaid tokens or postpaid bill settlement) are processed through licensed electricity distribution companies ("DisCos") or their approved aggregators. You are solely responsible for providing the correct meter number and confirming the customer name displayed before completing payment. Refunds are only considered where a payment is confirmed as failed, duplicated, or not delivered by the DisCo, as further detailed in our Refund Policy.
Cable TV subscription payments (including DSTV, GOtv, and Startimes) are processed via the relevant provider using the smart card or IUC number you supply. You must verify the customer name displayed matches your smart card before completing payment. Refunds apply only in cases of failed or duplicate payments that we can verify with the provider.
Examination PINs (including WAEC, JAMB, and NECO, where available) are generated and delivered electronically upon successful payment. Once a PIN has been successfully generated and delivered, it is non-refundable and non-exchangeable, except where a system-related error on our part prevented delivery of a valid, usable PIN.
Other utility bill payments made available on the Platform from time to time are processed on the same basis as the Services described above: you are responsible for providing accurate account or reference details, and successful payments confirmed as delivered by the relevant provider are final.
Where a transaction fails after your Wallet or payment method has been debited, the amount debited is automatically reversed to your Wallet or original payment method, typically within 24 hours, and in more complex cases within the timelines set out in our Refund Policy. If a reversal does not occur within the expected timeline, please contact us at contact@pay.eclinton.com with your transaction reference.
Some transactions may be placed in a pending state while we await confirmation from a Third-Party Provider. Pending transactions are automatically resolved (either completed or reversed) once confirmation is received. Please avoid retrying a pending transaction, as this may result in a duplicate charge; contact support instead if a transaction remains pending for an unusually long period.
Prices displayed on the Platform for airtime, data, electricity, cable TV, education PINs, and utility bills reflect the rates available at the time of purchase and are subject to change without prior notice, in line with changes from our Third-Party Providers. The price shown to you at checkout, before you confirm payment, is the price that applies to that transaction.
Certain transactions may attract a service fee, which will always be clearly disclosed before you confirm payment. Wallet funding through third-party payment processors may also attract processing fees charged by those processors, which are outside our control and disclosed at the point of funding.
We reserve the right to suspend or terminate your account, with or without prior notice, where we reasonably believe you have violated these Terms, engaged in prohibited or fraudulent activity, failed KYC verification, or where required to do so by a regulator or law enforcement authority. Where possible, we will notify you of the reason for suspension and any steps required to resolve it.
We employ transaction monitoring, device checks, and verification procedures designed to detect and prevent fraudulent activity on the Platform. You agree to cooperate with any additional verification we may request where a transaction is flagged as high-risk, and acknowledge that we may delay, decline, or reverse a transaction pending the outcome of such review.
All trademarks, logos, designs, text, graphics, and software comprising the Platform are the property of eClinton Enterprise or its licensors and are protected under applicable Nigerian and international intellectual property law. You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written consent.
The Platform relies on licensed and regulated Third-Party Providers, including payment processors and billers, to fulfil transactions. We are not responsible for outages, errors, or delays that originate directly from a Third-Party Provider's systems, though we will make reasonable efforts to assist in resolving any such issue on your behalf.
We aim to keep the Platform available at all times but do not guarantee uninterrupted access. The Platform may occasionally be unavailable due to maintenance, upgrades, or circumstances outside our control, including outages affecting our Third-Party Providers.
To the fullest extent permitted by Nigerian law, eClinton Enterprise shall not be liable for indirect, incidental, or consequential losses arising from your use of the Platform, including losses resulting from incorrect information you provided (such as a wrong phone number or meter number), delays caused by a Third-Party Provider, or events beyond our reasonable control. Our aggregate liability for any claim arising from a transaction shall not exceed the value of that transaction.
You agree to indemnify and hold eClinton Enterprise, its officers, employees, and agents harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any applicable law.
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, network or internet outages, acts of government, industrial action, or failures of our Third-Party Providers.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
If a dispute arises from your use of the Platform, you agree to first contact us at contact@pay.eclinton.com so that we may attempt to resolve the matter informally. If a dispute cannot be resolved within a reasonable period, either party may pursue resolution through the courts of Nigeria, or through mediation or arbitration as may be mutually agreed.
We may update these Terms from time to time to reflect changes in our Services, technology, or legal and regulatory requirements. Material changes will be communicated via the Platform or by email prior to taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
